PrepLab End-User Terms of Service

These End-User Terms of Service ("Terms") constitute a binding and enforceable agreement between LiteWorks LLC, doing business as PrepLab ("PrepLab," "we," "us," or "our"), and you ("User," "you") each time you access or use the PrepLab Services.

PrepLab and you may each be referred to as a "Party" and collectively as the "Parties."

By accepting these Terms electronically or by using the Services, you agree to comply with them. If you do not agree, you may not use the Services.

ARBITRATION NOTICE FOR U.S. USERS

THESE TERMS CONTAIN A MANDATORY ARBITRATION CLAUSE AND A WAIVER OF CLASS ACTION RIGHTS.

Except for certain disputes described below, you and PrepLab agree that disputes will be resolved by binding individual arbitration, and you waive any right to participate in a class action or class-wide arbitration. You may opt out as described in Section 10.

2. The Services

2.1. PrepLab provides a subscription-based digital platform offering educational tools, learning resources, preparation materials, and related services ("Services").

2.2. By subscribing, you gain access to the Services during your active subscription period.

2.3. Subscriptions automatically renew at the end of each billing cycle (for recurring plans) unless canceled before renewal.

2.4. PrepLab reserves the right to add, remove, or modify features or content at any time.

2.5. Subscription charges may appear on your billing statement as "PrepLab" or our payment processor's name.

3. Account Registration

3.1. You must create an account to use certain Services.

3.2. You agree to provide accurate and complete information.

5.1. By subscribing, you authorize PrepLab to charge your payment method at the beginning of each billing cycle.

5.5. Fees are exclusive of applicable taxes.

5.6. PrepLab may change subscription prices with 30 days' notice.

7. Your Data

7.1. PrepLab may collect and process personal data including name, email address, IP address, subscription details, usage data, and billing information.

7.2. Your personal data remains yours, subject to rights granted under the Privacy Policy.

7.3. PrepLab processes data in accordance with its Privacy Policy and applicable data protection laws, including GDPR and U.S. state privacy laws where applicable.

8. Intellectual Property Rights

8.1. All rights, title, and interest in the Services, platform, content, and technology are owned by PrepLab or its licensors.

8.2. You are granted a limited, non-exclusive, non-transferable license for personal, non-commercial use during your active subscription.

8.3. You may not reproduce, distribute, or create derivative works without authorization.

9. Disclaimer; Limitation of Liability

9.1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PrepLab disclaims all warranties, express or implied.

9.2. To the maximum extent permitted by law, PrepLab shall not be liable for lost profits, lost data, or indirect, incidental, special, punitive, or consequential damages.

9.3. PrepLab's total liability shall not exceed the subscription fees paid in the 12 months preceding the claim.

9.4. Nothing limits liability where such limitation is prohibited by law.

10. Dispute Resolution and Arbitration

10.1. For U.S. users, disputes shall be resolved by binding arbitration in Wilmington, Delaware.

10.2. Arbitration will be administered by JAMS under its Comprehensive Arbitration Rules.

10.3. Arbitration will be conducted on an individual basis only.

10.4. You may opt out of arbitration by sending written notice to legal@preplab.co within 30 days of first accepting these Terms.

10.5. Each Party bears its own arbitration costs unless otherwise required by law.

11. Termination

11.1. You may terminate by canceling your subscription.

11.2. PrepLab may suspend or terminate access if:

12. General Provisions

12.1. These Terms constitute the entire agreement between you and PrepLab.

12.2. PrepLab may revise these Terms at any time. Material changes will be communicated.

12.3. If any provision is invalid, the remaining provisions remain enforceable.

12.4. These Terms are governed by the laws of the State of Delaware.

12.5. You may not assign your rights. PrepLab may assign without restriction.

12.6. Nothing creates a partnership, joint venture, or agency relationship.
